    The semester’s performance was mainly driven by the commissioning of new transmission projects, the financial performance of energy and road concessions, and the update of contract remuneration to recognize the impact of inflation, among other factors.

    ISA continued executing an investment agenda aimed at strengthening its operations and expanding its future growth capacity. During the semester, the company allocated COP 3.1 trillion to the development of its businesses, 16% more than in the first half of 2025. This pace accelerated during the second quarter, when investments reached COP 1.7 trillion, exceeding the same period of the previous year by 23%.

    From an operational standpoint, the company advanced the execution of 32 energy transmission projects and three road concessions across the region. During the semester, two infrastructure renewal projects entered service in Colombia, and the Piraquê project in Brazil was fully completed, being delivered 16 months ahead of the deadline established by the regulator. The project included the construction of eight substations and more than 1,000 kilometers of transmission lines.

    To support its growth trajectory, ISA was awarded projects worth approximately USD 2.5 billion during the semester. Among the most significant milestones of the period, ISA Energia Brasil obtained regulatory approvals to consolidate 100% ownership of IE Madeira, one of the most important high-voltage direct current transmission systems in Latin America. Additionally, the company secured the Río Bueno–Puerto Montt road concession in Chile, with a reference investment of USD 821 million.

    As part of its commitment to creating value for shareholders, ISA made its first dividend payment of the year on May 27, 2026, totaling COP 241 billion. This amount is equivalent to COP 218 per share and represents 20% of the approved annual dividend.

    The transaction with AXIA Energia involved an asset exchange through which ISA ENERGIA BRASIL acquired the 49% stake in IE Madeira that it did not previously own and simultaneously divested its 51% stake in Interligação Elétrica Garanhuns (IE Garanhuns) to AXIA Energia. As part of the agreement, the company paid BRL 1.167 billion to AXIA. Through this transaction, ISA ENERGIA BRASIL achieved full ownership of IE Madeira, strengthening control and capturing the full value of this strategic asset.

    From a financial perspective, the transaction allows ISA ENERGIA BRASIL to consolidate annual EBITDA exceeding BRL 660 million, strengthening long-term value creation, company cash flow, and Brazil’s contribution to ISA’s portfolio. Operationally, IE Madeira is a 2,385-kilometer transmission line, the second longest in Brazil and among the most extensive in Latin America. The project operates using HVDC (High-Voltage Direct Current) technology, which is designed to transport large amounts of energy over long distances with high efficiency, reliability, and reduced losses.

    The incorporation of IE Madeira also represents a strategic milestone for ISA, as it becomes the company’s first operational HVDC asset that is wholly owned. The expertise gained from operating and managing this infrastructure strengthens ISA’s technical capabilities and broadens its experience for future transmission auctions involving HVDC technology, which is becoming increasingly important for renewable energy integration and large-scale energy transportation.

    The line connects power generation in northern Brazil with the country’s main consumption center, enabling renewable energy generated in resource-rich regions to be delivered to areas with higher demand. As a result, it has become an essential infrastructure asset for Brazil’s energy security and for the large-scale integration of clean energy. The system crosses five states: Rondônia, Mato Grosso, Goiás, Minas Gerais, and São Paulo, under a concession agreement valid through 2039.

    This is one of the most relevant transmission projects currently underway in Brazil. It includes more than 1,100 kilometers of transmission line circuits and eight substations, with 2,250 MVA of transformation capacity, strengthening system reliability, reducing overload risks, and facilitating energy flow between regions.

    Its impact goes beyond infrastructure. The project enables the transport of large volumes of clean energy generated in northern Minas Gerais—one of the regions with the fastest growth in solar and wind power in the country—to major consumption centers in the Southeast, strengthening regional integration and contributing to a more sustainable and resilient energy matrix.

    Additionally, during its construction, it generated more than 7,300 jobs, driving economic development in the states of Minas Gerais and Espírito Santo. It also stood out for implementing innovative solutions such as the use of drones for cable installation and vegetation management, as well as the installation of special high towers to reduce environmental intervention. These solutions enabled execution under demanding geographic conditions, including remote areas with high climate complexity.

  • The project, implemented at the Bauru substation (São Paulo), is part of a system modernization plan backed by an investment of approximately USD 33 million from Brazil’s National Electric Energy Agency (ANEEL). It includes the installation of four high-capacity shunt reactors, which play a critical role in maintaining grid reliability by absorbing excess energy that may increase voltage levels, especially in extensive transmission networks or under low-demand conditions. This contributes to strengthening grid stability and ensuring safe and efficient energy delivery to users.

    From an environmental perspective, the use of vegetable oil reduces the carbon footprint associated with materials by up to 20% and lifecycle emissions by approximately 11%. Additionally, vegetable oil significantly improves environmental safety due to its high biodegradability, reducing ecological risks in case of leaks.

    This advancement aligns with ISA ENERGÍA in Brazil’s commitment to achieving net-zero emissions by 2050, with intermediate reduction targets of 60% by 2040 and 90% by 2050, reinforcing its role in advancing the energy transition across the region.

    The event, now in its 26th year, has built a portfolio of 4,200 projects presented since 2000. Historically, technical initiatives validated at these conferences are integrated into the company’s standard operations across the region, as seen with digital substations and the use of existing corridors to minimize environmental impacts.

    “The energy transition is the key conversation of the future, and at ISA we are called to be an enabler, taking leadership with greater dialogue and visibility for society,” said Olga Patricia Castaño, Acting CEO of ISA.

    This year’s edition stands out for the technical maturity of its projects and their measurable operational impact. Three initiatives highlight the current level of development across ISA companies:

    • Chile: ISA Energía, in partnership with Ecodrones, implemented an AI and predictive analytics system to manage wear risk in 500 kV transmission lines. The result: zero operational failures and preventive management of a USD 32 million risk. Each prevented event represents approximately USD 2 million in savings.
    • Colombia: The “Gacela” ecosystem integrated technical, environmental, and social data to optimize transmission infrastructure planning. Results include around USD 150,000 in savings in 2025 and projected efficiencies exceeding USD 696,000 by the end of 2026.
    • Brazil: ISA Energía implemented SF6 tapes to contain sulfur hexafluoride leaks in high-voltage equipment, reducing leaks by 37% and generating approximately USD 1.8 million in avoided costs.

    Recognizing that sector challenges go beyond technical aspects, the conference will include discussions with industry associations, academia, and communities, featuring plenary sessions with around 30 global experts.

    The event aligns with the ISA2040 Strategy, designed to address the three pillars of the energy trilemma: ensuring supply security, maintaining affordability, and guaranteeing environmental sustainability in new infrastructure deployment.

    ISA achieved relevant operational milestones in Brazil with the completion of the Jacarandá project, which enhanced electrical infrastructure in the São Paulo Metropolitan Region, one of the most economically active areas in the country. Additionally, ISA Energía Brasil energized Block 2 of the Piraquê project, one of the most significant energy infrastructure projects in Brazil, essential for transporting renewable energy to the main consumption centers.

    Furthermore, ISA Energía Brasil signed a share purchase agreement with Axia Energía to restructure its holdings in IE Madeira and IE Garanhuns (a transaction subject to regulatory approvals in Brazil). Through this transaction, ISA will consolidate 100% ownership of IE Madeira, incorporating into its portfolio one of the largest direct current transmission systems in the world—a 2,385-kilometer line that integrates renewable energy generated in the Amazon region with the country’s largest demand centers, and which is expected to contribute approximately COP 360 billion in annual EBITDA.

    In Colombia, ISA expressed its interest in developing a package of urgent and essential projects to enable the integration of renewable energy into the National Transmission System, strengthening system reliability and advancing the energy transition. These projects are expected to be executed between 2027 and 2031, with estimated investments ranging from USD 800 million to USD 1 billion.

    In the roads business, ISA Vías in Chile submitted the best bid in the second tender for the Río Bueno – Puerto Montt concession, which includes the modernization of 129 kilometers. Additionally, this subsidiary became the first company in the road sector in Chile to issue sustainability-linked bonds, successfully placing approximately USD 630 million in two bond series with strong market demand, reaching 1.7 times the offered amount.

    From a financial perspective, during the first quarter ISA recorded operating revenues of COP 3.9 trillion, EBITDA of COP 2.2 trillion, and net income of COP 558 billion. Compared to the first quarter of 2025, these results reflect decreases of 4%, 9%, and 20%, respectively. These variations are mainly explained by the strengthening of the Colombian peso against the Brazilian real, the US dollar, and the Chilean peso, which reduced consolidated figures when converted into Colombian pesos, as well as by lower growth in macroeconomic variables impacting contractual assets in Brazil and Chile. In addition, net income was affected by the wealth tax in Colombia and higher financial expenses associated with project development.

    The Company maintains a solid and efficient capital structure, reflected in its cash generation, its international investment-grade credit rating, and financial indicators that support stable and consistent performance.

    In this edition, the company achieved an overall score of 85 out of 100, reflecting a 12-point increase compared to the previous year. This result places ISA in the upper percentile of the industry among the 250 companies evaluated in the Electric Utilities sector and positions it as one of only two Colombian energy companies to rank among the top 15, reinforcing its performance against the highest international sustainability standards.

    ISA obtained the maximum score (100/100) in the Human Rights, Transparency, and Reporting categories. It also delivered outstanding results in Materiality (prioritization of the most relevant topics for the business and its stakeholders), Risk Management, Information Privacy, as well as Energy and Water management.

    Within the assessed categories, the report highlighted ISA’s performance across several key topics, with scores ranging between 90 and 100 points. Notable areas included the Code of Conduct, Emerging Risk Management, Efficient use of water and energy, SF6 gas management in electrical equipment, Biodiversity mitigation actions, Talent development and diversity, and social programs aimed at facilitating access to basic public services.

    Additionally, ISA was included for the eighth consecutive year in the Dow Jones MILA Index (Latin American Integrated Market), which recognizes companies with the highest sustainability performance within the Pacific Alliance, comprising firms from Chile, Colombia, Mexico, and Peru. Of the eight companies evaluated, only four were admitted to the index—among them ISA—reaffirming its regional sustainability leadership.

  • Ruta del Maipo, a concession of ISA VÍAS in Chile, successfully carried out a bond issuance in the market through two tranches to refinance the company’s debt. Both bonds received a local AA+ rating from Fitch Ratings and Humphreys and are considered landmark transactions within their industry.

    This transaction represents Ruta del Maipo’s first issuance of sustainability-linked bonds and a unique case in Chile’s road concessions sector, demonstrating the maturity of ISA VÍAS in incorporating Environmental, Social, and Governance (ESG) targets into its management and its commitment to generating a positive impact across the entire ecosystem. Sustainability-linked bonds are debt instruments in which the financial conditions of the bond (such as the interest rate) are tied to the issuer’s achievement of sustainability targets, measured at the corporate level rather than by the specific use of proceeds.

    The transaction, executed on Tuesday, March 31, was aligned with the Sustainability Financing Framework established by the company in collaboration with Itaú Bank and Banco Santander, who acted as structuring banks.

    “The performance of this bond reflects the market’s confidence and interest in supporting the development of the country’s road infrastructure. Demand significantly exceeded expectations, and the bonds were fully placed in just 14 seconds, which makes us proud of the ongoing work we carry out with investors,” said Alejandra Carrasco, Corporate Finance Manager of ISA VÍAS in Chile.

    The issuance consists of Series G, totaling 2.15 million UF, with a term of 8.5 years and a placement rate of UF + 2.48%, and Series H, totaling 12.6 million UF, with a term of 10.9 years and a placement rate of UF + 2.89%.

    Ruta del Maipo is the main southern exit from Santiago and part of Route 5, Chile’s backbone of land transportation, registering traffic exceeding 88 million vehicles over the past year. The concession has been a pioneer in sustainability, joining the Huella Chile program at an early stage and obtaining carbon neutrality certification since 2022, reflecting its commitment to decarbonization.

    From an operational standpoint, it is a high-standard highway with additional second and third lanes along certain sections. It stands out for the implementation of free-flow technology at all its main toll plazas, contributing to reduced stops, lower fuel consumption, and fewer emissions, along with the installation of 14 electric vehicle charging points that strengthen sustainable mobility infrastructure.

    Through more than 935 kilometers of infrastructure, ISA VÍAS contributes to the energy transition by acting as an enabler of transport decarbonization through the integration of energy efficiency, circular economy principles, innovation, and technology. ISA VÍAS promotes tangible solutions such as more efficient routes that reduce travel distances, free-flow tolling systems that eliminate stops and help cut vehicle emissions, and the deployment of charging infrastructure that supports the adoption of low-emission vehicles, reinforcing its role in the transformation toward cleaner and more sustainable mobility across the territories where it operates.

    The company announced that it delivered a total shareholder return of 55%. This return includes both share price appreciation of 48% and dividends of COP 1,265 per share paid during 2025. In line with its dividend policy, this year ISA will distribute 50% of net income earned in 2025 (COP 2.4 trillion), reaffirming the balance between value creation for shareholders and reinvestment to support future growth. Total dividend distribution amounts to COP 1.2 trillion, corresponding to an ordinary dividend of COP 1,090 per share.

    It was also agreed to establish an equity strengthening reserve of COP 1.2 trillion, aimed at meeting committed investment obligations and preserving the company’s financial solidity. Dividend payments will be made in two installments: 20% in May and the remaining 80% in December of the current year.

    “The 2025 results reflect solid operating performance, a robust financial position, and disciplined execution of our strategy. This strength allows us to continue advancing with technical rigor in the region’s energy transition and in ISA Strategy 2040. We have created value for our shareholders: at least 90% of them are Colombian individuals or companies, meaning that the company’s regional growth translates into tangible benefits for savings and national economic development,” said Gabriel Melguizo Posada, Acting President of ISA.

    During the meeting, the new Board of Directors was approved for the statutory term April 2026–March 2028.

    During the year, ISA secured projects with investments of approximately USD 283 million and brought projects into operation with CAPEX totaling USD 664 million, consolidating its leadership as one of Latin America’s leading infrastructure groups.

    On the financial front, the company reported EBITDA of COP 8.7 trillion, net income of COP 2.4 trillion, and a return on equity close to 14%. These results were driven by the commissioning of new projects, organic infrastructure growth, and financial management aligned with investment-grade standards. The year-on-year variation in net income was mainly associated with non-recurring events, including adjustments related to assets in Brazil and specific provisions, without affecting the structural strength of the business or ISA’s ability to execute its long-term strategy.
